Payment terms As per our terms and conditions We would like to thank you for your interest, and have pleasure in confirming the following: TERMS AND CONDITIONS Acceptance of Choose A Tool (Pty) Ltd.€™s products or services deems acceptance of our terms as set out hereunder. 1. PERMANENT EMPLOYEES 1.1 FEE STRUCTURE The recruitment fees payable by the client is *0% of the candidate€™s total annual salary package (which will include any allowances, *3th cheque and any guaranteed bonuses), with a guarantee period of *0 (Thirty) days, from the candidate€™s date of commencement. Please be advised that all fees quoted exclude VAT 1.2 TERMS & GUARANTEE PERIOD In order to validate the *0 (Thirty) day guarantee period, payment must be made within 7 (seven) days of the candidate€™s commencement date. Should the candidate leave the employ of the company after the *0 (Thirty) day guarantee period, Choose A Tool will search for another suitable candidate for the same position, but is then entitled to a full placement fee. Please note that should the company have their own probation period of 3 (three) months or longer, Choose A Tool guarantee is only *0 (Thirty) days. Therefore, should the candidate leave whilst still in the Companies probation period, the Company is then entitled to pay a full placement fee should a new candidate be placed. 1.3 RE-ENGAGEMENT FEE If a candidate referred to you by Choose A Tool is not employed immediately, but commences employment on a permanent or temporary basis with your company no later than *2 (Twelve) months from date of referral, Choose A Tool is entitled to the full placement fee initially agreed upon, and will invoice accordingly. 1.4 REPLACEMENT Should a candidate leave your employ within the respective *0 (Thirty) day guarantee period for whatever reason other than retrenchment, redundancy, unfair dismissal, disablement or death, Choose A Tool undertakes to make ONE replacement of that particular candidate in the same position as originally agreed upon, provided our fee has been paid in full within the above mentioned period. Should the replacement candidate leave your employ for whatever reason and Choose A Tool is instructed to search for another suitable candidate, we are then entitled to a full placement fee. If Choose A Tool is unable to replace the candidate within a specified period of the said candidate€™s resignation with the original agreement (and provided the resignation falls within the respective guarantee period), the following CREDIT applies: 0 €“ *0 days 5% of the Placement Fee Choose A Tool will hold any such rebate due in favour of the client and will offset same against any future placement, provided such future placement occurs within a period not exceeding Thirty (*0) days from date of such placement. However should the company deem none of the candidates we forwarded them suitable for whatever reason then no credit will apply if we deem the candidates we have sent were suitably qualified as per prior spec 2.2 PAYMENT Choose A Tool will invoice the client within 7 (seven) days from the candidate€™s date of commencement. Should payment not be made within the specified time or no arrangements have been made in order to facilitate payment by the end of the invoiced month the company will be handed over and all costs incurred will be at that company€™s expense 3 GENERAL TERMS AND CONDITIONS 3.1 LIABILITY Under no circumstances will Choose A Tool be liable for any claims of whatever nature due to a dishonest act, negligence or malicious damage to property or other by any person permanently employed by the client. 3.2 SIGNATURE Choose A Tool deems that whomever signs the terms and conditions is a representative of your company whether still in employ or not and the signed terms and conditions will still be in effect and valid The terms and conditions as per this contract are the sole agreement between Choose A Tool and the client. Acceptance of any services from Choose A Tool deems acceptance of these Terms and Conditions. Should you wish to employ a Choose A Tool candidate, the offer of employment shall be made to the respective Choose A Tool consultant, who will in turn offer the candidate the position under no circumstances, shall the candidate be offered the position directly by the client. The offer will be made in writing through letter or fax, stating full remuneration that is being offered. 4 SPECIAL CONDITIONS € Should the replacement (Clause 1.4 above) be employed by the Client at a higher package, an upward adjustment of the original placement will be made. However no downward adjustment will be made should the annual package be lower. € Once the client decides against employment of a candidate, the client may not act independently and introduce that candidate to any other organization or person. In the event of this happening and the candidate is employed by another organization or person, as a direct result of such action, the client will be liable for full charges and fees. € Choose A Tool must be informed once a candidate is employed as this signifies the clients€™ acceptance of the terms and conditions set out in this document. € Any deviation from these terms and conditions must be in writing, and accepted by both parties, as no verbal agreement will be accepted. € Choose A Tool reserves the right to alter the fee structure from time to time. However, these will not exceed standard practice in the industry. 5 NON-PAYMENT In the event of non-payment, the Client shall be responsible for any collection of legal charges or lawyer€™s fees including costs for attorney and own client scale incurred in recovering money. Lateness of payment will result in forfeiture of the guarantee period. (See item 1.4 above) We look forward to being of assistance to you.
